You agree to the terms on this page and any other terms that Digitaleralab IT Service may have discussed and agreed to separately with you by visiting this website and reading emails from the Digitaleralab IT Service email id.
To work with us, you also agree to the following:
Digitaleralab, will be the name on all payment methods. As soon as we have received your approval of our proposal, the requested information, and any applicable professional fees, we will be happy to begin working on your project.
Any damages, direct or indirect, resulting from the use of or inability to use the presentation application will not be covered under any circumstances by Digitaleralab's liability to the Client or any third party.
Assuming legal or third-party involvement is required for the collection, the Client agrees to pay all legal or third party involvement fees as well as a late payment penalty, which carries a monthly interest rate of 1.5 per cent. Taxes will be collected following current law.
An employee is defined as someone currently employed or employed before the referenced project for this paragraph. For the duration of this Agreement and the following twenty-four (24) months, Digitaleralab agrees to refrain from soliciting or inducing any Employee of Client to leave their employment with Client or to hire any Employee of Client without Client's prior written approval, and Client agrees not to solicit or induce any Employee of Digitaleralab to leave Digitaleralab.
Either party can't transfer, assign or delegate any of their rights or obligations under this Agreement or any Statement of Work without the other party's prior written consent, except that I a party may transfer, assign or delegate any of its rights or obligations under this Agreement or any Statement of Work to any third party that succeeds to substantially own all of its business and assets, or assign or transfer a subcontract. Digitaleralab prohibits the Client from transferring this Agreement to a direct competitor.
A client guarantees to Digitaleralab that all text, graphics, photos, designs and trademarks provided to Digitaleralab for use in the web pages are theirs or that they have permission from the rightful owner to use each of these elements and will indemnify, protect and defend Digitaleralab against any claim or suit arising from the use of such details provided by the Client. Digitaleralab created this project, and Digitaleralab owns all files created by Digitaleralab while working on it. Project rights and ownership of the source code/design will be transferred to the Client after making the final payment.
That said, this contract was signed in New Delhi, India, and any disputes will be resolved there, wherever the venue may take place.
This proposal's Agreement between Digitaleralab and the Client and its owners is the only Agreement in existence.
A separate estimate will be provided for any additional work not included in this proposal.
The Client is responsible for providing all images, text, and other content. The Client grants us the assumed right to use any pictures from the internet that the Client does not provide. Even though Digitaleralab will make every effort to use only Royalty-Free images, the Client's responsibility is to ensure that he has reviewed and agreed to the work provided before it is delivered. His first stop after discovering an issue is Digitaleralab to have it rectified as quickly as possible. Once the job has been paid, Digitaleralab will not be held liable for infringements of third-party intellectual property rights, trademarks, performance defects, damages, or other legal liabilities. Clients benefit most when images, text, and other content are provided only at the time of contract and the work is completed following his Agreement.
If the Client's fees are deductible at source, the TDS certificate must be provided to Digitaleralab at the time of payment. Taxes and other government levies are not included in the professional fees. It is the responsibility of the Client to pay any taxes and levies that may arise as a result of the transaction.
If the Client decides to cancel the project before the website is completed, there will be no refund of the advance payment.
There will be no additional costs to the Client if there is a legal proceeding.
